Buyer

The party that actually purchases the tendered shares.

Definition

The buyer is the party that actually purchases the tendered shares. In a third-party tender offer, this is one or more outside investors. In a self-tender (buyback), the buyer is the issuer itself.

Why it matters

The identity of the buyer affects who ends up on the post-close cap table, how the program is governed, and the regulatory frame applied (Rule 13e-4 vs broader 14E rules).
