Eligible seller

A shareholder whom the issuer has invited to participate in the tender offer.

Definition

An eligible seller is a shareholder included on the eligibility list for a tender offer — typically current and former employees with vested holdings, plus select investors.

Why it matters

Eligibility is one of the most consequential decisions in program design. Newer hires, unvested holdings, and recently exercised options often fall outside eligibility. The official offer-to-purchase is authoritative.
