The letter of transmittal is the seller’s election form in a tender offer. When signed, it is the seller’s commitment to tender, subject to withdrawal rights during the offer window.

It includes seller identification, eligibility confirmation, share elections, tax certifications (W-9 / W-8 series), wire/ACH instructions, representations and warranties, and signature.
