Pro-rata allocation

An allocation rule that scales every electing seller's tendered shares by the same uniform factor.

Definition

Pro-rata allocation is the standard rule for handling oversubscription in a private-company tender offer. Every electing seller’s tendered shares are scaled by the same factor:

factor = total_accepted_shares / total_tendered_shares

Why it matters

It is the simplest fair rule: every seller is treated identically.
